Noel Tata Challenges N Chandrasekaran’s Reappointment as Tata Sons Chairman, Seeks Board Records

New Delhi, Oct 2026 : Noel Tata has intensified his challenge to N Chandrasekaran’s reappointment as Executive Chairman of Tata Sons, alleging procedural irregularities in the board’s decision and raising concerns over potential conflicts of interest.

In a letter addressed to Tata Sons Company Secretary Suprakash Mukhopadhyay, Noel Tata has sought extensive records and disclosures within seven days, contending that the resolution approving Chandrasekaran’s reappointment is invalid.

Chandrasekaran was reappointed for another five-year term beginning February 21, 2027. Noel Tata has questioned how the resolution was introduced during the board meeting, arguing that it was not properly listed on the agenda.

According to the letter, neither the original nor the revised board agenda specifically mentioned the Executive Chairman’s reappointment. Instead, Item 7 was described as “Debriefing from Nomination and Remuneration Committee (NRC)”. Noel Tata alleged that the resolution was moved under this item despite the committee’s agenda and minutes not being circulated to directors.

He also questioned the absence of a selection committee as required under Article 118 of Tata Sons’ Articles of Association. Further, he alleged that the affirmative vote required from directors appointed under Article 104B, read with Article 121, had not been obtained.

Noel Tata also objected to the company secretary certifying the resolution and filing it with the Registrar of Companies before the board minutes had been finalised.

As part of his demand for transparency, he has sought the original audio-video recording and transcript of the September 17 board meeting, final minutes, individual voting records and an audit trail documenting changes made to board papers.

The letter raises a second concern involving Hanno One Warehousing, a company whose directors include Chandrasekaran’s wife and son. Noel Tata has questioned whether these commercial relationships were disclosed to Tata Sons before the reappointment was considered.

He has also questioned the role of Venu Srinivasan, Chairman Emeritus of TVS Motor and a member of Tata Sons’ Nomination and Remuneration Committee. Srinivasan reportedly participated in deliberations on September 3 and cast the vote associated with an Article 104B director.

Noel Tata argued that Srinivasan should have disclosed the relevant dealings and recused himself from the proceedings.

The dispute centres on the procedures followed during Chandrasekaran’s reappointment and the disclosures made ahead of the decision. Noel Tata’s request for records seeks to establish whether the board complied with the company’s Articles of Association and applicable governance requirements.

The allegations and objections are contained in Noel Tata’s letter; the supplied account does not include a response from Tata Sons or the individuals concerned.
