Veranda Learning unveils Veranda 2.0 Strategy
Chennai: Veranda Learning Solutions has grown by leaps and bounds through both organic and inorganic means over the past few years. The company has now embarked on a significant restructuring initiative under its Veranda 2.0 vision—primarily aimed at unlocking long-term value, enabling focused growth, and enhancing operational agility in the rapidly evolving education sector. This initiative involves a thorough analysis of synergies across its various businesses and a strategic unbundling/re-bundling of its four key verticals: academic, commerce, government test preparation, and vocational training.
To oversee this process, the Board has constituted a sub-committee comprising primarily independent directors. The sub-committee, with the support of external consultants, will evaluate the restructuring strategy and make recommendations to the Board, including potential mergers or demergers of key verticals.
Veranda’s flagship commerce education brands—JK Shah Classes, BB Virtuals, Navkar Digital Institute, Tapasya College of Commerce, and Logic School of Management—have established a formidable presence in the test preparation space for CA, CS, CMA, and ACCA. Collectively, they have produced over 2,000 CA rankers since 2001 and continue to nurture a growing cohort of All-India top performers. This vertical, led by Prof. J.K. Shah, Founder of JK Shah Classes, is expected to play a pivotal role in driving future growth.
The proposed QIP (Qualified Institutional Placement), for which an enabling resolution has already been approved by shareholders at the EGM, is expected to infuse liquidity, accelerate growth, and help make key business verticals debt-free.
Commerce Education: A High-Growth Sector
The Veranda 2.0 vision coincides with India’s rise as a global hub for finance and accounting talent. With over 1,580 Global Capability Centres and 4.32 million B.Com enrolments annually, demand for certified commerce professionals is on the rise. Veranda’s commerce education vertical is expected to outpace overall sectoral growth by consolidating market share from regional/local players, leveraging its leadership position. Revenue is projected to grow from ₹281 crore (pro forma) in FY25 to over ₹1,000 crore by FY30, with student enrolments rising from 4.01 lakh in FY25 to over 8 lakh in the same period.
Through strategic cross-brand synergies, improved operational efficiencies, value-added offerings across the commerce education spectrum, and increased Lifetime Value (LTV) per student, the company aims to enhance margins from the current 36% in FY25 to over 50% by FY30.
This strategic realignment seeks to position Veranda as a group of distinct, scalable, and sustainable education powerhouses—each focused on delivering stakeholder value.
